Terms of Service

1. Introduction

These Terms of Service ("Terms") govern access to and use of The Leader's Diagnostic, a web-based diagnostic tool for business founders and leaders (the "Service"), operated by Delicate Persuasion Limited (company number 9523727), whose registered office is at The Glen, Knutsford Old Road, Stockton Heath, Warrington, WA4 2LD ("TLD", "we", "us"). The Leader's Diagnostic is a trading name of Delicate Persuasion Limited. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a business, you confirm you have the authority to bind that business to these Terms, and "you" refers to both you and that business.

2. What the Service is, and is not

The Leader's Diagnostic helps you examine your business and leadership situation, identify priorities and decide what to test next. It provides structured decision-support material based on the information available to it.

Its analysis, priorities, suggested actions and reports are not financial, legal, tax, investment, employment, medical, psychological or other regulated professional advice, and do not guarantee a business, financial, personal or commercial outcome. You remain responsible for your decisions and should obtain appropriate professional advice before taking decisions that require it.

The Service is intended for use by individuals aged 18 or over, acting in a business capacity.

3. Accounts

There are two kinds of account: Founder, for working through your own diagnostic, and Consultant, for reviewing and publishing reports for clients assigned to you. Consultant access is arranged directly with TLD; there is no public sign-up for it.

You are responsible for keeping your login details confidential and for all activity under your account. Tell us promptly if you suspect unauthorised use.

4. Information you provide

Please enter only information you are entitled to use and share. Do not enter sensitive personal information about another person unless you have a clear lawful basis and authority to do so.

You are responsible for the accuracy of what you enter. TLD's analysis and reports can only reflect the information you provide.

5. How your answers are processed

Your diagnostic answers are processed by TLD's own deterministic, rule-based analytical system, not sent to a generative AI service for analysis.

Our Privacy Notice, effective from 22 September 2026, explains how we collect, use, store and protect personal information when you use the Service. It forms part of the information governing your use of The Leader's Diagnostic.

6. The free trial

TLD offers one free Trial per founder and business, at no cost and with no card required: two prescribed diagnostic areas, Personal Expectations and Organisational Positioning, chosen by TLD rather than the founder. Within the Trial you get real questions, saved answers, Review Answers and Overview scoped to those two areas, and the genuine Expectations and Positioning Area Reports once ready. The Trial does not include Early Signals, the Personal or Organisational Health Review, Priorities, History, Compare, or the other ten Area Reports; these become available only with Full TLD.

7. Full TLD

Full TLD gives access to all 12 diagnostic areas, the complete Take stock journey, Early Signals, both Health Reviews (Personal and Organisational), all 12 Area Reports, and Priorities, 16 reports in total, plus supporting evidence, Report Centre, History and Compare.

During the Pilot, Full TLD is provided without charge. If Full TLD is offered on a paid basis, the price applicable to your purchase will be the price shown to you before you complete that purchase. Prices are exclusive of VAT unless stated otherwise. There is no automatic subscription or renewal unless expressly agreed with you separately.

Full TLD provides access for 90 days from activation. At the end of that period, access to the Full TLD engagement, including its reports, History and Compare, ends. There is no automatic renewal or continuing archive access. If you want to continue using TLD after that period, you can ask about Ongoing TLD.

During the Pilot, Full TLD is provided without charge. Unless we tell you otherwise when you activate it, Pilot access is also available for 90 days from activation.

8. Ongoing TLD

Ongoing TLD is the only way to continue using the Service past the 90-day Full TLD period. It is arranged directly with TLD on request, at a price agreed at the time; there is no self-serve subscription for it.

9. Consultant access to your information

If a consultant is assigned to you, they can see the diagnostic information needed to review and publish your reports. TLD does not otherwise share your diagnostic answers or reports with third parties except as set out in the Privacy Notice or as required by law.

10. Fees and payment

Fees are shown in GBP and, where applicable, exclusive of VAT. Fees are non-refundable once Full TLD access has been activated, except where required by law.

11. Your responsibility for decisions

Nothing in the Service replaces your own judgement or professional advice. You are solely responsible for decisions you make in connection with your business, whether or not informed by the Service.

12. Intellectual property

The Service's methodology, questions, scoring logic, report formats, design and branding are TLD's property or that of its licensors, and are protected by copyright and other intellectual property laws. You may not copy, resell, reverse-engineer or create derivative works from them.

You own the information you enter. You grant TLD a licence to use it to provide and operate the Service, including generating your reports.

13. Availability and changes to the Service

We aim to keep the Service available and to give reasonable notice of planned maintenance, but we do not guarantee uninterrupted or error-free access. We may update or change features of the Service from time to time.

14. Disclaimer of warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, TLD disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement. Nothing in this clause limits any statutory rights that cannot lawfully be excluded.

15. Limitation of liability

The Leader's Diagnostic is a decision-support service. It does not guarantee any particular business, financial or commercial outcome. You remain responsible for the decisions you make and the actions you take in connection with your business.

To the fullest extent permitted by law, Delicate Persuasion Limited will not be liable for any indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business opportunity or goodwill arising from your use of the Service.

Our total aggregate liability arising out of or in connection with the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed:

• (a) where you have paid for Full TLD, the total amount you paid for the Full TLD engagement giving rise to the claim; or
• (b) where the Service was provided without charge, £500.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

16. Termination

You may stop using the Service at any time. We may suspend or close your account if you materially breach these Terms, including by entering information you are not entitled to share. Sections that by their nature should survive termination (including 12, 14 and 15) continue to apply.

17. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will let you know before it takes effect and ask you to re-confirm your agreement, as with any other updated acknowledgement. Continuing to use the Service after a non-material update means you accept the change.

18. Governing law

These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of its courts, without prejudice to any mandatory consumer protections in your own country of residence.
